Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of the AiDEN platform, website, and related services (collectively, the "Platform") operated from Jersey, Channel Islands. By creating an account or using our Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

2. Definitions

  • "AiDEN", "we", "us", "our" refers to the operator of the Platform.
  • "User", "you", "your" refers to any individual or entity that accesses or uses the Platform.
  • "Services" refers to the business services, AI solutions, and tools available through the Platform.
  • "Service Provider" refers to third-party professionals or companies that deliver specific services through the Platform.

3. Account Registration

To access the Platform, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must be at least 18 years old to create an account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

4. Services and Ordering

The Platform provides access to a range of business services. When you purchase a service:

  • You agree to pay the stated price (in British pounds) at the time of purchase.
  • One-off services are charged as a single payment. Subscription services are charged at the agreed frequency (monthly, quarterly, or annually) until cancelled.
  • We will deliver services in accordance with the description and estimated timelines provided on the Platform.
  • Service delivery is tracked via your dashboard, and you will be notified of progress updates.

5. Payments

All prices are quoted in British pounds sterling (£) and are exclusive of any applicable taxes unless stated otherwise. Payments are processed through our PCI-compliant payment provider (CityPay). We do not store your full payment card details.

If a payment fails, we will notify you and may suspend the relevant service until payment is received. Repeated payment failures may result in service cancellation.

6. Subscriptions and Cancellation

Subscription services renew automatically at the end of each billing period. You may cancel a subscription at any time through your dashboard. Cancellation takes effect at the end of the current billing period. We do not offer partial refunds for unused subscription periods.

7. Refunds

Refund eligibility depends on the nature of the service:

  • Services not yet started: Full refund available if you cancel before work begins.
  • Services in progress: Partial refunds may be considered on a case-by-case basis, reflecting work already completed.
  • Completed services: No refund is available once a service has been fully delivered.
  • Subscriptions: No refund for the current billing period after renewal.

8. User Responsibilities

You agree to:

  • Provide accurate, truthful information when registering and using the Platform.
  • Use the Platform only for lawful business purposes.
  • Not attempt to gain unauthorised access to other accounts, systems, or data.
  • Not use the Platform to distribute malware, spam, or any harmful content.
  • Comply with all applicable Jersey laws and regulations.

9. Intellectual Property

All content, branding, software, and materials on the Platform are owned by AiDEN or our licensors and are protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any Platform content without our written consent.

Content created specifically for you as part of a purchased service (such as website designs, logos, or written content) is licensed to you upon full payment.

10. AI Services Disclaimer

Our AI-powered services (including avatars, chatbots, agents, and automated systems) are designed to assist and augment your business operations. While we strive for accuracy and reliability:

  • AI outputs may occasionally contain errors or inaccuracies.
  • AI services should not be relied upon as the sole basis for critical business, legal, or financial decisions.
  • You are responsible for reviewing and validating any AI-generated content before use.

11. Service Providers

Certain services on the Platform are delivered by third-party Service Providers. While we vet and manage these providers, we act as a platform facilitating the service delivery. The contractual relationship for such services is between you and AiDEN, and we remain responsible for managing quality and delivery.

12. Limitation of Liability

To the maximum extent permitted by Jersey law:

  • AiDEN shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform.
  • Our total liability for any claim shall not exceed the amount you paid to us in the 12 months preceding the claim.
  • We are not liable for losses resulting from circumstances beyond our reasonable control, including third-party service failures, internet outages, or force majeure events.

13. Indemnification

You agree to indemnify and hold AiDEN harmless from any claims, damages, or expenses arising from your breach of these Terms, your misuse of the Platform, or your violation of any applicable law.

14. Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data.

15. Modifications

We may update these Terms from time to time. Material changes will be communicated via email or through a notice on the Platform at least 14 days before they take effect. Continued use of the Platform after changes constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the Island of Jersey. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Jersey.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
